Terms of Use and Service Level Agreement
Version 2.0, June 2026
SureTariff is a business-to-business (B2B) service exclusively. These Terms of Use and Service Level Agreement ("Terms") constitute a binding agreement between Fashion Business Collective Ltd, trading as SureTariff ("SureTariff", "we", "us", "our"), and the business entity subscribing to the Service ("Customer", "you", "your"). SureTariff does not provide services to consumers, and the Service must not be used for personal, family, or household purposes.
If you enter into a separate signed order form, statement of work, or written agreement with us (an "Order Form"), and there is any conflict between that document and these Terms, the Order Form prevails to the extent of the conflict. Otherwise, these Terms, together with our Privacy Policy, form the entire agreement between us.
1. Definitions

- Lookup - a single classification request for one product description per target jurisdiction
- Lookup Allowance - the number of Lookups included with a Plan for each billing period
- Additional Credits - Lookups purchased separately when a Customer's Lookup Allowance has been fully used within a billing period
- Confidence Score - the AI-generated certainty indicator returned with each classification, expressed as a percentage
- Reasoning Narrative - the plain-language explanation of why a particular tariff code was assigned
- Product Data - descriptive information about products submitted by the Customer for classification, including but not limited to product names, materials, construction details, and end-use descriptions
- Connected Systems - third-party applications integrated with SureTariff, including PLM systems and other business tools
- Plan - the subscription tier selected by the Customer, which determines platform access, Lookup Allowance, features, and pricing
- Beta or Preview Services - any feature, jurisdiction, connector, or capability that we identify as beta, preview, early access, trial, evaluation, or experimental, including the Service as a whole during any period it is offered as a beta
- Aggregate Data - anonymised, de-identified, and statistical data derived from use of the Service that does not identify the Customer, any individual, or any specific product
2. Service Description
SureTariff provides an automated Harmonised Tariff Schedule (HTS) classification service operated by Fashion Business Collective Ltd. The Service uses AI technology to analyse Product Data and recommend appropriate tariff codes for customs and trade compliance purposes.
Each classification returns three components: the HTS tariff code, a Confidence Score, and a Reasoning Narrative. Classifications are cross-referenced against official government tariff databases for the supported jurisdictions.
The Customer is solely responsible for reviewing all classifications and making the final determination on which HTS codes to use. A classification is deemed accepted by the Customer, and the Customer is treated as having approved it for its own use, if the Customer has not rejected or queried that classification within five (5) working days of delivery. Deemed acceptance does not transfer to us any responsibility for the Customer's use of the code.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
3. Beta and Preview Services
SureTariff is offered, in whole or in part, as a Beta or Preview Service while it remains in beta. The following applies to all Beta or Preview Services, and prevails over any other provision of these Terms in the event of conflict:
- Beta or Preview Services are feature-incomplete, are provided strictly "as is" and "as available", and are used at your sole risk
- The Service Level Agreement in Section 4 does not apply to Beta or Preview Services, which carry no uptime, availability, accuracy, or support commitment
- We may change, suspend, withdraw, or discontinue any Beta or Preview Service, in whole or in part, at any time and without notice or liability
- To the fullest extent permitted by law, we accept no liability of any kind arising from your use of, or reliance on, any Beta or Preview Service
- Early adopter or beta pricing is provided on the understanding that the Service is in active development, and may be revised for future billing periods on notice
4. Service Level Agreement
Uptime
For the generally available (non-beta) Service, SureTariff commits to 98.5% monthly uptime. This excludes scheduled maintenance windows, Beta or Preview Services, third-party service failures beyond our control, force majeure events as defined in Section 17, and the availability of electronic access to official government tariff databases. While government database access is typically reliable, occasional outages or disruptions to these external systems are outside our control and may temporarily affect classification delivery.
Service Credits
If we fail to meet the committed monthly uptime for the generally available Service, your sole and exclusive remedy is a service credit against future fees, calculated pro-rata to the shortfall and applied on request. Service credits in any billing period are capped at 50% of the fees paid for that period and are not redeemable for cash. Service credits are the only remedy for any failure to meet a service level.
Classification Delivery
The Service includes an automatic retry mechanism for failed or timed-out classification requests. If a classification cannot be completed after retry, the Customer will be notified and the Lookup will not be deducted from their allocation.
Support
Automated support is available 24/7 through the platform. Human support is available during UK business hours (Monday to Friday, 09:00 to 17:00 GMT/BST, excluding English public holidays).
5. Accounts, Access and Security
To use the Service, you must create an account and provide accurate, complete registration information. You are responsible for:
- Maintaining the confidentiality of your account credentials and API keys
- All activity that occurs under your account, including the acts and omissions of every user you authorise and any configuration of roles, permissions, or access within your organisation
- Notifying us immediately of any unauthorised access or security breach
- Ensuring that all users within your organisation who access the Service comply with these Terms
Any activity conducted using your credentials or API keys is deemed authorised by you. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
Security Audit
Where we reasonably suspect that your account, credentials, or systems have been compromised, or have been used in breach of these Terms, we may require that an independent third-party audit of the affected systems be carried out at your expense, and you agree to cooperate fully and promptly with any such audit.
How we protect your integration credentials
Where you provide credentials for a Connected System (such as a PLM or other API key and secret), we encrypt them using a hardware-backed, non-exportable key held in a Hardware Security Module certified to FIPS 140-2 Level 3, via Google Cloud Key Management Service in a UK data centre. Your credentials reach us over a TLS-encrypted connection, are encrypted inside the hardware module, and are stored only as ciphertext bound to your account; the plaintext is never written to disk or to any log, and the encryption key cannot be exported by us or by the cloud provider.
While we protect your credentials and data on our side as set out above, we do not control and accept no responsibility for the security, data handling, key storage, availability, or services of any Connected System itself. How a Connected System stores and protects your data and credentials is determined by that third party and its own terms, not by us.
6. Fees and Payment
Platform Licence
A subscription to the Service is a licence to access and use the SureTariff platform. Each Plan includes a Lookup Allowance for the billing period. Subscription fees are payable regardless of whether the Customer uses some or all of their Lookup Allowance, as the fee covers platform access and not individual classifications.
Plans
The Service is available on quarterly and annual subscription plans. Details of current plans, features, and pricing are published on our website and may be updated from time to time.
Billing Cycle
- Quarterly plans are billed in advance by credit card for the full quarter (3 months). Quarterly subscriptions may be refunded on a pro-rata basis within 14 days of purchase if you have not used the Service
- Annual plans are billed in advance for the full year by credit card or by invoice (Net 30 terms) and may include a discount over quarterly pricing. Annual subscriptions may be refunded on a pro-rata basis within 14 days of purchase if you have not used the Service
Lookup Allowance and Additional Credits
Each Plan includes a Lookup Allowance for the billing period. When your Lookup Allowance has been fully used, classification will pause and you will be prompted to purchase Additional Credits to continue generating codes.
Additional Credits purchased during an active subscription carry over to subsequent billing periods for as long as the subscription remains active. If your subscription is not renewed or is terminated, any unused Additional Credits must be used within the current billing period and will not carry over or be refunded.
Material Change in Usage
Where your usage profile changes materially during a billing period, including as a result of a merger, acquisition, group reorganisation, or a significant increase in the scale or scope of your operations, we may review and adjust your Plan and pricing on reasonable notice to reflect the expanded use of the Service.
Payment
All fees are quoted in GBP unless otherwise stated and are exclusive of VAT and any other applicable taxes, which are payable by you. Payment is processed via our third-party payment provider. Failure to pay fees when due may result in immediate suspension of access to the Service and interest accruing on the outstanding balance at the rate of 8% per annum or 7% above the Bank of England base rate, whichever is greater.
7. Term and Termination
Minimum Commitment
All new subscriptions carry a minimum commitment period of 3 months from the date of activation.
Notice Periods
- Quarterly subscriptions: 30 days' written notice before the next quarterly billing date
- Annual subscriptions: 30 days' written notice before the renewal date
Cancellation takes effect at the end of the current billing period. You may continue to use the Service until that date.
Immediate Termination
Either party may terminate immediately by written notice if the other party:
- Commits a material breach of these Terms and fails to remedy it within 14 days of written notice
- Becomes insolvent, enters administration, or ceases to trade
We may also terminate or suspend your access immediately if we are required to do so by law or regulatory authority, or if we reasonably believe your use poses a risk to the Service or other users.
Additional Credits on Termination
If your subscription is not renewed or is terminated, any unused Additional Credits must be used before the end of the current billing period. Additional Credits do not carry over beyond the final billing period and are non-refundable.
Post-Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data and make it available for export for at least 90 days following termination, after which it will be securely deleted.
8. Your Responsibilities
SureTariff is a tool that supports your trade compliance work. It is not a substitute for your own judgement or for professional customs, legal, or tax advice. You are responsible for:
- The accuracy, completeness, and lawfulness of all Product Data you submit. Classifications can only be as accurate as the information provided
- Reviewing each classification, the Confidence Score, and the Reasoning Narrative before any code is relied upon for imports, customs declarations, duty calculations, or pricing
- The final selection and use of any HTS code, and for all customs filings, declarations, and payments you make
- Ensuring you hold all rights and consents necessary to submit your Product Data to us, including any third-party data it contains
- Compliance with all laws applicable to your business, including customs, export control, and sanctions laws
9. Indemnification
Customer Indemnification
You agree to indemnify and hold harmless Fashion Business Collective Ltd., its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of HTS codes provided by the Service, including any customs declarations or duty calculations based on those codes
- Inaccurate or incomplete Product Data submitted by you
- Your violation of these Terms or any applicable law or regulation
- Your infringement of any third-party rights
Intermediary Use
Where a Customer operates as an intermediary (for example, a customs broker, trade consultant, or freight forwarder) and shares classification outputs with their own clients, the following applies:
- The Customer is solely responsible for the terms and conditions governing the relationship with their end clients, and must ensure those terms pass on the limitations and disclaimers in these Terms
- SureTariff has no contractual relationship with, and accepts no liability to, the Customer's end clients
- The Customer fully indemnifies SureTariff against any claims, damages, losses, or expenses arising from the use of classification outputs by their end clients, regardless of how those outputs are presented, modified, or applied
- The Customer remains responsible for ensuring that their end clients understand the advisory nature of the classifications and the recommendation for human verification before use
SureTariff Indemnification
SureTariff will indemnify the Customer against any third-party claims alleging that the Service, as provided by us and used in accordance with these Terms, infringes the intellectual property rights of that third party, provided the Customer notifies SureTariff promptly of any such claim, grants us sole control of the defence and settlement, and cooperates fully. This indemnity does not apply to the extent a claim arises from your Product Data, from modification of the Service by anyone other than us, from combination of the Service with systems or data not provided by us, or from your failure to implement an update or workaround we have made available.
10. Warranties and Disclaimers
Our Commitment to Accuracy
SureTariff is designed to save your business time and money by automating tariff classification. We invest significant effort in the accuracy and reliability of our classification engine, including cross-referencing against official government tariff databases, continuous model improvement, and rigorous testing. We take the quality of every classification seriously.
"As Is" and "As Available"
Subject to the express commitments in these Terms, and to the fullest extent permitted by law, the Service is provided "as is" and "as available". We do not provide legal, customs, or trade compliance advice, and classifications are advisory only.
To the fullest extent permitted by law, we disclaim all warranties, conditions, and representations of any kind, whether express, implied, or statutory, including any implied warranties or conditions of satisfactory quality, merchantability, fitness for a particular purpose, and non-infringement. In particular, we do not warrant that:
- Classifications will be accurate, complete, or error-free in every case, although we work continuously to improve accuracy across all supported jurisdictions
- The Service will be uninterrupted, timely, secure, or free from errors, viruses, or other harmful components
- The Service will meet your specific requirements or achieve any particular commercial or compliance outcome
Tariff Classification and Legal Interpretation
Tariff classification is not an exact science. Assigning an HTS or commodity code requires the interpretation of customs and tariff legislation, including the General Rules of Interpretation, section and chapter notes, explanatory notes, and binding and non-binding rulings, which differ between the federal, state, and foreign jurisdictions to which they apply, are subject to revision, and on which qualified experts and customs authorities may legitimately reach different conclusions.
Classifications, Confidence Scores, and Reasoning Narratives reflect our interpretation of the applicable law and the data supplied at the time of delivery; they are not determinations of law, are not binding on any customs, tax, or other authority, and may differ from the view such an authority ultimately takes. To the fullest extent permitted by law, we disclaim all liability for any classification, duty calculation, or other result that is based on the interpretation of the customs, tariff, trade, or tax laws of any jurisdiction, and for any reclassification, ruling, penalty, fine, duty, or back-payment arising from it.
Third-Party Services
The Service relies on third parties, including AI model providers, hosting and infrastructure providers, official government tariff databases, PLM and Connected Systems, and our payment provider. We are not responsible or liable for the acts, omissions, availability, accuracy, or performance of any third party, and any third-party service is used subject to that third party's own terms.
11. Limitation of Liability
To the fullest extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits, loss of business, loss of anticipated savings, loss of goodwill, loss or corruption of data, customs penalties, fines, duty, or back-payments, in each case however arising and whether or not foreseeable
- We shall not be liable for any personal injury, death, or damage to physical property arising from your use of, or reliance on, any classification or output of the Service, except to the extent such liability cannot be excluded under applicable law
- Subject to the paragraphs below, our total aggregate liability arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of (a) the total fees paid by you to us in the six (6) month period immediately preceding the event giving rise to the claim, or (b) £1,000
Exceptions to the Cap
The cap above does not apply to your obligations to pay fees due, to your indemnification obligations under Section 9, to liability arising from your unauthorised use of the Service, or to either party's breach of the confidentiality obligations in Section 13.
Liabilities Not Excluded
Nothing in these Terms excludes or limits either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. These limitations apply to the fullest extent permitted by law and reflect the allocation of risk between us, which is reflected in the fees.
Time Limit for Claims
To the fullest extent permitted by law, you must bring any claim arising out of or in connection with these Terms or the Service within 12 months of the date on which the event giving rise to the claim occurred, after which the claim is barred.
12. Intellectual Property
All intellectual property rights in the Service, including its software, algorithms, classification models, Confidence Scores, Reasoning Narratives, documentation, branding, and website content, are owned by Fashion Business Collective Ltd. or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond a limited, non-exclusive, non-transferable licence to use it in accordance with your subscription for your internal business purposes.
You retain ownership of any Product Data you submit to the Service. By submitting Product Data, you grant us a limited licence to process it solely for the purpose of delivering the classification service to you. This licence terminates upon deletion of the Product Data in accordance with our data retention policies.
Aggregate Data
We may generate, use, and retain Aggregate Data to operate, secure, analyse, and improve the Service and our models, and for any other lawful business purpose. Aggregate Data does not identify you, any individual, or any specific product. We covenant that we will not attempt to re-identify, or to derive your identity or that of any individual or product from, any Aggregate Data.
Improving Results for You
Separately from Aggregate Data, we may use your own Product Data to improve the accuracy or results of the Service specifically for you, but only where you have given us specific permission to do so. Any such use is subject to the confidentiality obligations in Section 14. We do not use your Product Data to improve results for, or to train models for, any other customer.
13. Data Protection and Security
Data Protection
We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Our Privacy Policy forms part of these Terms. By using the Service, you acknowledge and agree to the data practices described therein. Where we process personal data on your behalf, that processing is further governed by our Data Processing Agreement, which forms part of these Terms.
Where you submit personal data of third parties (for example, supplier contact details within Product Data), you warrant that you have obtained the necessary consents or have a lawful basis to share such data with us.
Product Data Handling
Product Data is automatically deleted within 24 hours of classification acceptance. Your Product Data is used solely for the purpose of delivering classifications and is not shared with any third party except as required for classification delivery or where required by law. The generation of Aggregate Data under Section 12 does not retain or expose your Product Data.
Infrastructure Security
The Service is hosted in a Tier IV, ISO 27001 certified UK data centre. By subscribing to and using the Service, you authorise us to host and process your data in the United Kingdom, unless a different hosting location is specifically agreed with you in writing. The UK is our default hosting location, and customers in other regions, including the EU and the United States, are normally served from our UK servers; where specifically agreed in writing, the Service may instead be hosted in another region. Even then, account management is carried out from our UK office on UK-based servers, and your business account information is stored in the United Kingdom. All data is encrypted in transit using SSL/TLS and at rest. Third-party AI providers used by the Service are selected and monitored to maintain appropriate data protection standards.
14. Confidentiality
Each party agrees to treat as confidential all information received from the other party that is marked as confidential or that would reasonably be understood to be confidential, and not to disclose it to any third party without prior written consent.
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no fault of the receiving party
- Was already known to the receiving party before disclosure
- Is independently developed by the receiving party without reference to the disclosing party's information
- Is required to be disclosed by law, regulation, or court order
Product Data is treated with the highest level of confidentiality. Confidentiality obligations under this section survive termination of these Terms.
15. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to classify products that are prohibited, sanctioned, or illegal to trade
- Attempt to reverse-engineer, decompile, or extract the underlying algorithms or models
- Resell, sublicence, or redistribute access to the Service itself to third parties. Customers operating as intermediaries (such as customs brokers or trade consultants) may share classification outputs with their own clients as part of their professional services, subject to the intermediary terms set out in Section 9
- Use automated tools to scrape, crawl, or excessively burden the Service beyond your Plan limits
- Share your account credentials or API keys with unauthorised third parties
- Submit data that infringes the intellectual property rights of any third party
- Submit malicious, corrupted, or intentionally misleading data
- Use the Service in any way that could damage, disable, or impair its operation
16. Suspension and Changes to the Service
Suspension
We may suspend your access to the Service, in whole or in part, immediately and without liability, where we reasonably believe there is an unacceptable risk to the Service or its users, including suspected fraud, a security threat, unlawful or harmful use, non-payment, or activity that degrades or threatens the stability of the Service. We will restore access promptly once the risk has been resolved.
Changes to the Service
We may modify, improve, deprecate, or discontinue features of the Service with reasonable notice. We are not obliged to maintain obsolete versions, and where we deprecate a feature, jurisdiction, or connector, we may require you to migrate to a current version. Material changes that adversely affect the core Service will be notified in advance.
17. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, and third-party service outages.
The affected party must notify the other party promptly and take reasonable steps to mitigate the impact. If the force majeure event continues for more than 60 days, either party may terminate these Terms by written notice.
18. API and Integration
API access is included with every Plan. The following terms apply to use of the SureTariff API and any Connected Systems:
- Rate limits are managed by SureTariff and may vary by Plan. We reserve the right to throttle or restrict API access to maintain service quality
- You are responsible for the security of your API credentials. Any activity conducted using your credentials is deemed authorised by you
- API endpoints, request formats, and response structures may be modified with reasonable notice. Where we issue a required update to the API or a connector, you must adopt it within the period stated in the notice, or within 30 days if no period is stated, after which we may suspend or restrict access to superseded versions
- Connected System integrations (including PLM connectors) are provided as-is and are subject to the availability and compatibility of the third-party system
19. International Use and Export Compliance
The Service is offered from the United Kingdom to business customers internationally. Regardless of where you access the Service, these Terms are governed by English law as set out in Section 21, and the United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
You are responsible for complying with all export control, trade sanctions, and import laws applicable to you and your products. You warrant that you are not located in, and will not use the Service on behalf of any party located in, a territory subject to comprehensive trade sanctions, and that you are not a sanctioned or restricted party.
20. Amendments
We reserve the right to update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the platform at least 30 days before the changes take effect.
If you do not agree to the revised Terms, you may terminate your subscription without penalty within 30 days of receiving notice of the change. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
21. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Subject to the informal resolution step below, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Informal Resolution First
Before commencing formal proceedings, the parties will attempt in good faith to resolve any dispute by negotiation. The party raising the dispute will give written notice describing it, and senior representatives of each party will meet (in person or remotely) within 30 days of that notice to seek resolution. This step does not apply where a party seeks urgent injunctive or other interim relief.
Intellectual Property Disputes
Nothing in this section prevents either party from seeking interim or injunctive relief in any court of competent jurisdiction, in particular to protect its intellectual property rights or confidential information.
22. Survival
Termination or expiry of these Terms does not affect any rights or obligations that have accrued up to that date. The following provisions survive termination or expiry and continue in full force: Section 6 (Fees and Payment, in respect of sums owed), Section 9 (Indemnification), Section 10 (Warranties and Disclaimers), Section 11 (Limitation of Liability), Section 12 (Intellectual Property, including Aggregate Data), Section 13 (Data Protection), Section 14 (Confidentiality), Section 19 (International Use and Export Compliance), Section 21 (Governing Law and Disputes), this Section 22, and any other provision which by its nature is intended to survive.
23. Publicity and References
Either party may reference the existence of the commercial relationship, including the use of company names and logos, in marketing materials, case studies, and investor communications.
Individual consent is required before identifying any employee by name in marketing materials. Consent is deemed given where an individual voluntarily participates in public activities such as interviews, testimonials, or events. Either party may withdraw consent for publicity references with 30 days' written notice.
24. General
- Entire agreement and precedence - these Terms, together with our Privacy Policy and any Order Form, constitute the entire agreement between you and us regarding the Service. In the event of conflict, an Order Form prevails over these Terms, and these Terms prevail over the Privacy Policy and any other incorporated document, in each case only to the extent of the conflict
- Severability - if any provision is found to be unenforceable, the remaining provisions continue in full force
- Waiver - failure to enforce any right under these Terms does not constitute a waiver of that right
- Assignment - you may not assign your rights or obligations under these Terms without our prior written consent. SureTariff may assign its rights and obligations in connection with a merger, acquisition, or sale of assets
- Notices - notices under these Terms must be sent to the email address associated with your account or to the address specified on our website
- Third-party rights - no person who is not a party to these Terms shall have any right to enforce any of its provisions under the Contracts (Rights of Third Parties) Act 1999
